NNPC REQUIREMENT FOR NIGERIA CRUDE OIL PURCHASE

Introduction

The Nigerian National Petroleum Corporation (NNPC) is an OPEC registered nation and it abides by its rules and regulations. Where a company has the interest to purchase crude oil in Nigeria, such company may approach NNPC for such transaction.

The NNPC has been empowered pursuant to the NNPC Act (LFN CAP 320) to engage in all commercial activities relating to petroleum operations. In compliance with the Public Procurement Act 2007, NNPC to engage qualified and reputable companies for the sale, purchase and lifting of Nigerian crude oil grades.

Those qualified to apply to the NNPC for Crude Oil Purchase include the following:

  • A bonafide end user who owns a refinery or retail outlet that can process Nigerian crude oil grades.
  • Government to government arrangement.
  • An established globally recognised large volume of crude oil trader.
  • An indigenous Nigerian company engaged in the Nigerian oil and gas downstream business activities.

The duration of the term contract for the purchase shall be for 12 calendar months (1 year)

Requirements for the purchase of crude oil pursuant to the NNPC Act

  • Certificate of incorporation, which is the evidence of company registration issued by the corporate affairs commission (CAC) for Nigerian companies, and for foreign companies’ certificate of incorporation issued by the home country government agency.
  • Certified true copies of the memorandum and article of association of the company, stating the statement of share capital and the return of allotment, CAC7 Particulars of Directors, and other statutory documents indicating ownership structure of the company.
  • Detailed company profile demonstrating the company’s capability.
  • A tender application letter on the bidder’s letterhead paper including the name of the authorised contact person, company full address, email address and telephone number should be submitted.
  • Tax clearance certificate of the company for the last 3 years for Nigeria company and similar tax certification document for foreign companies.
  • Evidence of compliance with the provision of the Industrial Training Fund (ITF) Amendment Act 2011, including the copy of the compliance certificate from ITF or similar documents for the foreign company.
  • Evidence of compliance with the Nigerian social insurance trust fund (NSITF) Act; the inclusion of the compliance certificate for Nigerian companies.
  • Evidence of compliance with the Pension Reform Act 2014, including valid pension clearance certificate for Nigerian companies or similar documents for foreign companies.
  • Evidence of relevant certification with the department of petroleum resources (DPR) where applicable.
  • Audited account of the company for the past 3 years of application, which must bear the stamp of an audit firm.
  • Demonstration of minimum annual turnover of USD500, 000,000 (or the naira equivalent) and net worth of not less than USD250, 000,000 or the naira equivalent for the recent fiscal year ending.
  • Ability to establish an irrevocable letter of credit for the payment of any allocated crude oil subject to the contract terms.
  • Details of the applicants’ facilities, market and volume of crude oil listed in barrels and the products traded listed in metre tonnes.
  • Evidence of verifiable similar service carried out within the past 5 years.
  • A prospective bidder shall also make a sworn affidavit to support his application action as follows:
  • To allow NNPC to verify all claims made in the application
  • To allow NNPC to verify that the organisation is not in any form of insolvency, bankruptcy or receivership
  • To confirm that the company is not a replacement for a hitherto tax defaulting company
  • To confirm whether or not any of the members of relevant companies of NNPC or Bureau of public procurement has an interest in the company
  • A written statement confirming that the company does not have any director who has been convicted in any country for a criminal offence, fraud etc
  • A written statement providing full names, phone number, contact addresses of current directors and beneficial owners.
  • A pres-signed undertaking to comply strictly with the Nigerian Anti-corruption laws in processing the bid and executing the contract when the application is granted.
  • After that, all the completed bids should be sealed and submitted in 2 envelopes clearly marked as one original copy and one electronic copy duly signed by the bidders authorised representative as (INVITATION TO TENDER FOR THE SALE AND PURCHASE OF CRUDE OIL)
  • All bids shall then be publicly opened and endorsed following the deadline for submission in the presence of invited observers and prospective bidders.

For any local or foreign company looking to purchase crude oil in Nigeria, it must bid its interest with the Nigerian National Petroleum Corporation. Only companies that submitted the required information as listed above and meet the qualification criteria will be contacted by NNPC for evaluation. And NNPC deals directly with the authorized officers of the interested company and not through individuals or its agents.

NNPC Undergraduate Internship (Industrial Training / SIWES)

  • You must be a current student at a N i gerian Tertiary Institution.
  • It is critical that you have an internal drive to achieve and that you work hard.

NNPC Graduate Trainee:

It is critical that you meet the following criteria as a graduate trainee applicant:

  • Bachelor’s degree with a first- or second-class upper division in any relevant discipline
  • You must be a graduate of a recognized university, polytechnic, or monotechnic.
  • If you have an HND, they want you to have completed a Master’s degree and have an Upper credit.
  • You must be under the age of 28 at the t i me of application.
  • At the time of application, NNPC wants you to have completed your NYSC.

Duration of NNPC Internship programs?

NIPEX REGISTRATION & APPLICATION PROCESS

The Nigerian Petroleum Exchange (NIPEX) is a Division of NAPIMS, a Corporate Service Unit of NNPC. The purpose of NIPEX is to register supplier, vendor and contractor with the Nigerian National Petroleum Corporation(NNPC) and also NNPC subsidiary- the Nigerian Petroleum Development Company(NPDC).

NIPEX is an electronic one-stop transaction centre that improves on value procurement in the oil and gas industry and institutionalizes world-class contracting processes in Nigeria. The electronic contracting platform uses product codes to identify the type of products and services a company will have as an option and whether it is permitted to operate in the Nigerian oil and gas sector.

The Nigeria Petroleum Exchange (NIPEX) is a platform where servicing companies can bid and tender for contracts from multinational and national companies. If a company is registered with NIPEX it means the company is registered to do business with all oil companies in Nigeria in its field of expertise. One of its purposes is to link buyers and suppliers by establishing an industry-wide standard for business transactions and providing a comprehensive suite of capabilities, which includes a platform for showcasing contract opportunities in the oil and gas industry.

It is pertinent for companies registering under NIPEX to select the right product code that fits the company services. Where this is competently done, the company will be invited for NIPEX Jobs that the company can competently carry out.

The requirements for NIPEX registration are complex and many. Any company intending to register for NIPEX is advised to either contact the NAPIMS for the list of requirements or consult with accredited professionals.

NIPEX Registration Process

The process for registration for NIPEX permit involves the following steps:

  • Registering on the NIPEX Website and making payment of the required processing fee online to the Federal Government through remita.
  • Upload the payment receipt online the NIPEX website and Send the form with the original copy of the deposit slip or online payment receipt or valid NNPC registration to NIPEX
  • On receipt of these documents and confirmation of payment, NIPEX will send via the e-mail address provided on the form, login details & guidelines to enable access and completion of the pre-qualification questionnaire.
  • NIPEX verifies the questionnaire for accuracy and notifies you of any amendment where necessary.
  • Where there is no amendment, NIPEX will notify the applicant when to have an audit with your firm. The audit is done online.
  • After the audit, there could be a close-out. If there are no issues to close-out, NIPEX will write a report and you will be issued a login detail that will allow your firm to participate in all NIPEX contracts that you are qualified to bid.

NNPC Introduction Letter

The acquisition of an allotment to sell Nigerian Oil is issued by the NNPC directors, usually upon request of a high ranking politician. These allotments are only given to those that have proven their capacity to perform in the oil industry. This is highly secretive process because the allocations are issued at the top level of the government usually as a way for someone connected to receive profits in the oil business. The potential allottee is then given the nod of approval which is passed directly to the board of the NNPC. So the NNPC staff does not know who the allotment holders are. The staff have relatives in the broker business and so when you go in to verify an ATS or POP the staff then knows who the allotment holder is and quickly farms out the information to their relatives in the broker business. For this reason it is very hard to get a verification of an ATS (Authority to Sell Letter) or POP (Proof of Product letter).

There is only one reason for a seller (allotment holder) to be associated directly with a company wishing to sell their oil, and that is that the agency is connected to a buyer that may be able to perform. To stay connected requires a level of performance commensurate with the highly sought after position. The value of your service as a Allottee Mandate must be worth the time of the allotment holder to keep you around.

NNPC Introduction

INTRODUCTION/CONFIRMATION LETTER One of our privileged allocation holders has requested us to introduce certain features of our oil transactions and delivery processes with you in order for you to make good business decisions before getting engaged in a long term contract. Please note that the supply and demand trends in the petrochemical industry and high quality of our Bonny Light Crude Oil ( BLCO ), allow us to sell it at a premium price.

You can see that this letter is written to you, the buyer, on behalf of the approved allocation holder. BLCO or NLCO is the most expensive oil next to Brent because of its low sulfur content (which means it is less corrosive). It is also a light oil. The combination of these two features makes Bonny light the least expensive oil to refine. Therefor its value is high compared to other crude oils available elsewhere. Product Specs. are provided in the contract.

Normally all NNPC sales are executed on CIF basis and every cargo has a payment guarantee (with blocked funds), associated with it before it gets loaded at the Bonny Terminal.

CIF is a shipping term which means that the seller is delivering the oil to your port. Therefor the seller has to charter a vessel and cover insurance to safely deliver the cargo. This is an expense usually covered by the Allottee’s Financier. Contracts always require blocked funds and are advised by a top 25 bank before the vessel is even loaded.

However, NNPC has privileged allocations’ program, which allows certain key individual allocation holders receive the BLCO at a special discounted price. The benefits of such discounts are normally shared with certain buyers who qualify for such special deals by our allocation holders.

The allocation holder always has the last say at what price (discount) he is willing to sell at. A typical discount might look like this: Gross $7 per barrel below Brent, $4 net to the Buyer. On a 7/4 deal $3 will be distributed to the Seller’s and Buyer’s sides usually equally for commissions to the agencies involved in putting the buyer and seller together and assisting in negotiating the deal.

Due to the large magnitude of the cash flow involved with aforementioned allocations, such transactions are usually undertaken by the allocation holders via their financing arm who are pre-approved by NNPC. Each allocation holder has its own financing arrangements.

The money is paid to the financier who then pays the NNPC for the oil. It may cost several million dollars to finance a shipment so the financier always receives a ROI for a transaction which is worked out in advance between the financier and the Allotment holder.

Once a contract is in execution and we have received the payment instrument for a given cargo against an allocation, we will deploy our ships to transport the subject crude directly to the destination of choice of the allocation holder.

There may be different discounts depending on where the shipment is going. This is to compensate the seller for the greater risk involved in long treks. CIF ASWP (any safe world port) will carry the lowest discount. Allocations are most often issued quarterly. So “against an allocation” means that an allottee might be issued for 25 million barrels quarterly and out of that allocation will be drawn 1 or two million barrels for a transaction.

All our such allocations are automatically renewed and rolled over if any of our allocation holders have signed a long term contract with a pre-qualified buyer, for the entire duration of the contract.

Refineries require a continuous supply of Crude Oil to work efficiently and therefor want long term contracts. The NNPC accommodates the contractual obligations of the principals. If an allotment holder can not sell the oil for the duration of his allotment it is likely that the allocation may be issued to another seller for the NNPC.

I understand your esteemed organization is in the process of contracting with one of our such privileged allocation holders listed below. We are happy to confirm that the following company and its associated financing arm, also listed below, have been approved by us, NNPC and Federal Ministry of Petroleum and Gas of Nigeria.

This is the reason that Buyers often require the actual allotment letters, ATS (Authority to Sell) because a partial POP on the contract can not be verified. We have seen contracts come across our desk that have false information in the partial POP . So the actual letter makes it worth the effort to take the time to work out an agreement, because at least the buyer knows that there is really a product involved in the transaction. If you are a buyer and can not get an ATS or a POP letter on the NNPC letterhead then it is because of one or two reasons. One, the deal is fake. Two, the agencies involved don’t have the trust from the allottee in order to acquire the letter. Long chains of agents are a particular problem because somewhere along the way there can be somebody that will not extend trust to get the deal closed and will not provide the proper documentation. We do not work with unsubstantiated sellers and will not provide empty SPAs with no POP documents.

It is also hereby confirmed that we, NNPC, have duly approved his allocations for up to 10 million barrels of BLCO per month for the current quarter which are subject to extensions and roll over’s as described above:

Notice when I said above that an allocation may be issued for 25 million barrels per quarter. That is about 6 million barrels per month. So it is evident that an allotment holder, if successful selling his entire allotment, will be given an expanded allotment up to 10M bbls to allow his continued success.

We will advice all clients to follow the procedure of our allocation holder. NNPC never bend the rule of the lifting guild line. All refinery / crude oil trader have to abide to the rules and regulation.

The biggest rule is that when Buyer says he is RWA (ready willing and able) to purchase, he is saying that he is financially able to place the banking instruments and block the millions of dollars in funds to prove that the money is there and able to be drawn down “At Sight” upon the presentation of the delivery documents.

This describes the NNPC off-OPEC process of buying Nigerian Oil through an allotment holder and a Financier.
